1. Data of the webshop

The seller of the products purchased in the Wholesale – Gilla Inc. webshop (URL: http://wholesale.gilla.com) is Gilla Europe Ltd.

2.Essential traits of the object of the contract

 

The object of the contract between the Entrepreneur and the Purchaser are the products offered to purchase on the webshop at www.http://wholesale.gilla.com/. The detailed characteristics of the products for sale can be found by the Purchaser in the specific product description. Product image for illustration purposes only. Actual product may vary.
Please read the product descriptions carefully in order to be sure that you order exactly the product that you need. In case you need help, don’t hesitate to contact us via email or by phone. The purchase price is the one next to the product chosen, and includes all taxes (e.g. VAT) for EU countries.
The contract, due to be concluded according to the instructions above, is not registered by the Gilla Europe Ltd. and does not qualify as written contract, but its text is published on the homepage of the company in its entirety.

 

3.The process of contracting and ordering

The customer becomes Purchaser of Gilla Europe Ltd. by submitting an order (by giving an offer). After the order has been sent, our website sends an automatic message to acknowledge its registration. Please check the data of your order, because at this stage cancellation is still possible. After the first automatic message a second one is sent, provided we are able to fulfill the order, containing information about the details of delivery. With this email, the fulfillment of the contract starts.

Log-in/Registration:
Open the webshop by clicking on the “Log in” button at the top of the site you can register by providing your data or sign in with the username and password you have registered earlier.

Product selection:
Product categories can be chosen from the top menu, and the relevant product information is displayed after clicking on it. Then, with the “Add to cart” button the product can be added to the cart. By clicking on the “View cart” button at the top, the quantity and price of the selected products can be checked.

Ordering:
After having finished with the selection of products, choose the “View cart” or the „Checkout” button to finalise your order. The next pages take you through the process of entering all necessary data to the final submission of the order.

If you haven’t yet registered on our site yet, you can do so after clicking the „Checkout” button. Here you have the possibility to establish if your billing address is the same as your shipping address. If not, you can provide another by selecting “ship to a different address”. During the next step you can choose the shipping method. After this, a payment method has to be chosen. Finally, the order can be sent by clicking on the “Order” button. If an online payment method was selected, the ordering process is not yet finished. On a new page, or on the pop-up page of PayPal or another external service provider, the banking data have to be supplied. By confirming the payment the order is submitted.

If you do not wish to register on our website, you can also place an order as a guest. Once you have chosen the desired products and placed them into your cart, you will be given the option to checkout as a guest. If you wish to proceed with your order, you will be directed to the page where, as stated above, you can provide your billing and shipping information, choose the desired shipping method and complete the order with the payment, following the same steps as a registered customer. Once the payment is confirmed, the order will be submitted.

Your data is stored only for a concrete purpose and for the period necessary. Data handling by Gilla Europe Ltd. services is based on voluntary consent. Aim of data management: Gilla Europe Ltd. records the data of its visitors in order to provide its services, supervise their operation and in order to prevent abuse. Legal basis of data storage: The voluntary consent of the person concerned, and section 13/A, § 3 of Law CVIII of 2001 on issues regarding electronic retail services and services related to information society.  Range of data managed: Date and time of visit, IP address, and personal data supplied voluntarily during the ordering process (name, address, bank data). Period of data storage: Until recalled by customer.

On our websites, cookies are used in order to ensure maximum convenience for our customers and to process orders. Users can change the settings for cookies in their web browser. Personal data (names, addresses, e-mail addresses, phone numbers) are handed over to third parties only to the extent that this is necessary to fulfil the order, to handle customer feedback, to manage loyalty points and to process commissions.

If you are already a registered customer, then all your previously provided data will appear after clicking the checkout button, with the shipping address(es) in a drop-down list. Here, the shipping address for the order in question can be specified by choosing an address from the list or selecting the option “new address”. In this case a new window pops up, where a new shipping address can be provided. Afterwards, the process is the same as in the case of a newly registered customer, in detail: during the next step, the shipping method can be chosen. After this, a payment method has to be chosen from those available in the given country (transaction by bank card or credit card, cash on delivery, PayPal, other, local payment methods offered by Skrill/Moneybookers,, etc.). Finally, on the summary page you can submit your order by clicking on „Order”. If you have chosen an online payment method, the process is not finished yet: you will have to provide your payment data in a pop-up window or in the window of an external service provider such as PayPal. By confirming the payment the order is submitted.

We inform you that the availability of the products can be checked by us only during the processing of your order. If a particular product is not in stock in the quantity requested, you will be contacted by our customer care agent via phone or email regarding the content of the order and the date of the shipping.

You have the opportunity to correct data mistakes before pushing the button „Order”. Please check your billing address, the quantity, the price and the type of the products ordered carefully. If these don’t match your intention, or if you have changed your mind, please use the “Back” button and start the ordering process again. Our system provides the opportunity to edit each step separately before the submission of the order. You can correct any mistakes as late as the first acknowledgment email, as mentioned above.

 

4.Shipping

The products ordered are packed and dispatched within 2 business days after the placement of the order. The status of the shipping can be followed on the webpage of the courier service with the tracking number of the order.The shipping price refers to one packet and includes the costs of the cash-on-delivery service, if appropriate, and of the package and within the EU the VAT. For shipping adresses outside the EU, prices do not include VAT, customs and other taxes, which have to be paid by the customer.

 

5.Payment methods

To settle the bill for the products ordered on the http://wholesale.gilla.com/ webshop you have the following options (not all options are available in all countries):

Payment in cash/cash on delivery:
The amount of the invoice is paid to the courier upon delivery of the packet in cash. The invoice containing the price of the products and the VAT is supplied in the package, and the courier provides a receipt on the cash received. Cash on delivery is available in all EU countries.

Card payment:
After submitting the order, you are redirected to the bank’s site, where you can make your payment quickly and easily.

6.Warranty and guarantee

According to the regulations of Law IV of 1959 on the Hungarian Civil Code, for every product purchased as new a two-year-warranty period applies, provided a consumer contract enters into force (between a person entering in the contract outside the scope of an economical or professional activity – the Consumer – and a person who enters into the contract within an economical or professional activity).

The conditions of the warranty are detailed in GKM decree 49 of 2003, Gilla Europe Ltd. is obliged to provide warranty if the product sold doesn’t meet the requirements regarding its particulars determined by law or by contract at the time of the purchase.

Gilla Europe Ltd. is also liable if the set-up of the product has been assembled according to the contract by the Consumer, if the faulty assembly can be ascribed to a mistake in the users’ manual.

If the Parties don’t agree on the origin of the product fault, the origin of the defect has to be proven by the customer (expert opinion). Within the first six months after the purchase, the defect is considered to have been existent at the time of purchase. In this period, proof of the contrary has to be made by Gilla Europe Ltd..

If the Consumer was or should have been aware of the defect at the time of the purchase, Gilla Europe Ltd.. is exempt from the responsibility for the warranty.

In case of faulty performance of the contract, the Consumer has the right first of all to ask for — according to his/her choice — repair or replacement, except if the fulfillment of the chosen claim is not possible, or if, compared to the other option, it would entail disproportionate extra costs Gilla Europe Ltd.., considering the value of the faultless product, the weight of the breach of contract and the inconvenience inflicted on the claimant.

If the Consumer is not entitled to a repair or a replacement, or if Gilla Europe Ltd.. didn’t assume responsibility for the repair or the replacement, or isn’t able to fulfill its obligation within an appropriate deadline and without causing significant inconvenience to the consumer, the consumer can ask for appropriate price reduction or can declare the contract off. In the case of not significant product faults, the contract may not be terminated.

 

7.Validation, quality complaints

Customers are ask to check immediately, before signing the receipt, if the package is complete. Otherwise it may be difficult to prove any items missing.

In the case of any complaints about the quality of the product, we proceed according to the law, i.e. according to GKM decree 49 of 2003.

You can validate your warranty claims by presenting a verification of your purchase (invoice). Gilla Europe Ltd. is bound to register your complaint. In accordance with legal regulations, Gilla Europe Ltd. seeks to repair or replace faulty products within 14 days.

8.The right of withdrawal

Based on government decree§ 45 of 2014 , the purchaser is legally entitled to cancel his/her order within 14 days as from the receipt of the products without giving reasons. In this case, Gilla Europe Ltd.. is required to refund the amount paid by the purchaser without delay, but at least within 14 days after the return of the product. The customer has to return the products without delay to the post address of the company Gilla Europe Ltd., (14-24 Horvát street, 1027, Budapest, Hungary), but in any case within 14 days. This deadline is fulfilled if the customer dispatches the product wihtin 14 days. Costs arising in connection with the product return have to be covered by the customer.

We ask our customers to kindly keep the package and the etiquette during the withdrawal period, in order to simplify processing the returned products.

According to §29 of government decree 45 of 2014 (II.26.), the purchaser is not entitled to return products in the following cases:
– if the products are connected to the Consumer as a person, if they were produced according to his/her instructions or on special request (e.g.: combination of products made upon request)
– if the products have been used and can’t be re-used by another person for hygienic reasons (i.e. cartomizer).

To process the refund, it is necessary that the customer provides the necessary information (exact name, order number) via email to the company. Please state in your mail that you intend to practice your right of withdrawal. For hygienic reasons, cartomizers are refunded or taken back only if their original packaging is unopened.

In addition to the right of withdrawal as above Gilla Europe Ltd. provides to its customers a special 30-day money back warranty. This is valid only for the complete kits that we are going to have soon. Pursuant to this the price for kits is refunded for products that are returned within 30 days from the date of purchase. Please contact our customer service before sending your products back. Costs arising in connection with the product return have to be covered by the customer.

 

9.Other conditions

Please note that the terms and conditions of the webshop are subject to change. To keep the terms that apply to your purchase, please save the terms valid at the time of your pruchase to your computer or print them out.

Gilla Europe Ltd. may change any price or deadline at its discretion. The change enters into force with its publication on the website. Gilla Europe Ltd.. may change the terms and conditions at any time at its discretion. Any change enters into force with its publication on the website. The terms valid at the time of the purchase are applied.

Restriction of responsibility

The purchase on the http://wholesale.gilla.com/ webshop presupposes that the Customer knows and accepts the possibilities and limitations of the internet, especially regarding its technical performance (screen resolution, possible distortion of the colours etc.) and possible failures.

The Operator of the webshop is under no circumstances responsible for the loss of the data sent or received, for any operational failure of internet network, for the damage in the receiving device, for any software malfunction or program or other technical failures.

The original language of these Terms and Conditions is English. Versions in other languages are for information purposes only. In cases of divergences, the English text shall prevail.
